Ltd., member, BSE. 1.3 As the scrip witnessed sharp fluctuations in the price and volume at both BSE and NSE during the period July 2, 2001 to January 2, 2002, SEBI initiated investigation into the dealings in the scrip of SIL. It was observed from the investigation report that the fluctuation in the price was more than the change in indices with substantially fluctuating volumes during the relevant period. It was observed that a handful of brokers and clients had deliberately tried to establish a price in the scrip and maintained the price at specific level. These volumes were artificial as only a set of a few brokers and clients were involved throughout the trading in this scrip. Investigation Report further noted that Shri Basantani along with other entities including Dhanlaxmi Cotex Ltd., MR Share Broking Pvt. Ltd. and VRM Share Broking Pvt. Ltd. contributed 96% and 65% of the trading in the scrip at BSE and NSE respectively.
3 2.1 Accordingly, an Enquiry Officer was appointed in terms of the then SEBI (Procedure for Holding Enquiry by Enquiry Officer and Imposing Penalties) Regulations, 2002 (hereinafter referred to as the Enquiry Regulations) vide order dated March 3, 2005 to enquire into the violations / contraventions alleged to have been committed by VRM. On completion of the enquiry, the Enquiry Officer concluded that the actions of VRM were violative of Regulation 4 (a), (b), (c) (d) of SEBI (Prohibition of Fraudulent and Unfair Trade Practices Relating to Securities Market) Regulations, 1995 and the provisions of Clause A (3) and (4) of the Code of Conduct enumerated under Schedule II under Regulation 7 of the SEBI (Stock Brokers and Sub Brokers) Regulation, 1992. The Enquiry Officer vide his report dated March 31, 2006 recommended a penalty of suspension of certificate of registration of VRM for a period of three months.
4 (ii) The transactions entered into in the scrip of SIL were in the nature of arbitrary/jobbing transactions wherein buy/sell were in NSE as well as in BSE. (iii) The transactions carried out by them were in the normal course of business in the scrip of SIL in own account as well as on behalf of the client. (iv) The percentage of dealings in the scrip of SIL as compared with the total trading during the period of investigation is negligible. (v) The learned enquiry officer has not conclusively proved that there was a nexus between VRM, Dhanalaxmi Cotex Ltd and the company SIL or its entities. The learned enquiry officer has erred in arriving at the conclusion that VRM and its client were connected by having common director. (vi) It is a known fact that VRM and client Dhanalaxmi Cotex Ltd were having member client relationship. However the activities of key entities were independent in nature. Further merely because one of the director of VRM is a director in Dhanalaxmi Cotex does not lead to the conclusion between the client and the VRM in the scrip of SIL. (vii) VRM has exercised due diligence and care while conducting its business. However, the said transactions were done by the client and the broker independently.
