Ltd., member, BSE. 1.3 As the scrip witnessed sharp fluctuations in the price and volume at both BSE and NSE during the period July 2, 2001 to January 2, 2002, SEBI initiated investigation into the dealings in the scrip of SIL. It was observed from the investigation report that the fluctuation in the price was more than the change in indices with substantially fluctuating volumes during the relevant period. It was observed that a handful of brokers and clients had deliberately tried to establish a price in the scrip and maintained the price at specific level. These volumes were artificial as only a set of a few brokers and clients were involved throughout the trading in this scrip. Investigation Report further noted that Shri Basantani along with other entities contributed 96% and 65% of the trading in the scrip at BSE and NSE respectively. These entities also included R K Global Shares and Securities Ltd.

3 and Sub Brokers) Regulations, 1992 (hereinafter referred to as “Stock Broker Regulations”). 2.1 Accordingly, an enquiry officer was appointed in terms of the then SEBI (Procedure for Holding Enquiry by Enquiry Officer and Imposing Penalties) Regulations, 2002 (hereinafter referred to as “Enquiry Regulations”) to enquire into the violations /contraventions alleged to have committed by the sub-broker. The Enquiry Officer conducted the enquiry in terms of the Enquiry Regulations and found that R K Global executed as many as 111 structured trades on behalf of its client, AMS Finance and Securities Ltd. on the buy as well as sell side in the scrip and thus was instrumental in creating false and misleading appearance of trading in the said scrip. The Enquiry Officer submitted report dated December 28, 2005 recommending a penalty of suspension of certificate of registration for a period of one month.

There is no evidence to establish that R K Global intentionally entered into any transaction to artificially raise or depress the prices of the scrip or that it was privy to any purported arrangement / understanding between its clients and other brokers/their clients to create volumes and price movement in the scrip during the period. ii. R K Global was merely acting as a broker and executed the transactions as per the clients instructions believing the same to be genuine and without having any reason to doubt the authenticity of these transactions. iii. RK Global had exercised due skill and care in its transactions. iv. RK Global denied that they were interconnected to brokers to maintain the price of the scrip at desired level to attract investors at the price on which the preferential allotment was proposed. v. RK Global denied that they were related entities to any other brokers or their clients there of. They denied any kind of relations with Rajkumar Chainrai Basantani, Bharat Jain, etc. vi. RK Global were merely acting as a stock broker and executed the transactions as per the clients’ instructions believing the same to be genuine and without having any reason to doubt the authenticity of these transactions and hence they did not indulge into in any act calculated to create a false or misleading appearance which would lead to ‘structured deal’.
