2 Stock Exchange (hereinafter referred to as “VSE”), Ahmedabad Stock Exchange (hereinafter referred to as “ASE”) and the Bombay Stock Exchange Ltd. (hereinafter referred to as “BSE”).
3 1.4 In addition to that OTPL had also made preferential allotments of 1,00,00,000 shares, 78,80,000 shares and 3,00,00,000 on August 1, 2000, August 3, 2000 and November 23, 2000 respectively, as per information provided by the Vadodara Stock Exchange (hereinafter referred to as VSE). These shares were listed on VSE on October 5, 2000, October 25, 2000 and December 15, 2000 respectively. OTPL made further allotment of 5,00,00,000 shares on swap basis on October 19, 2000. However, these shares were not listed at any exchange. The preferential allotment of 60,00,000 shares as detailed above and other preferential allotments subsequent thereto were not listed at BSE. The preferential allotment of 60,00,000 shares was, however, listed on VSE on January 17, 2000.
4 1.7 It was alleged that the broker facilitated introduction of unlisted shares and failed to exercise due skill and care and has thus violated Clause A (2) of the Code of Conduct specified for a broker under Schedule II of Regulation 7 of SEBI (Stock Brokers and Sub Brokers) Regulations, 1992 (hereinafter referred to as “Stock Brokers Regulations”). Besides they have also dealt on behalf of an un-registered sub broker in violation of SEBI Circulars viz., SEBI/SMD/POLICY/CIRCULAR 3/97 dated March 31, 1997 and Circular SEBI/SMD/POLICY 3/98 dated January 16, 1998.
