Page 2 of 8 bearing SEBI registration no. INB 011072759], Bama Securities Ltd. (hereinafter referred to as ‘Bama’) [member NSE, bearing SEBI registration no. INB 230939139] and Bang Securities Pvt. Ltd. (hereinafter referred to as ‘Bang’) [bearing registration no. INS 010130636] [sub-broker to NBSPL and client of Bama] had traded substantially in the scrip of SEAMEC while acting in concert. It was also revealed that NBSPL, Bama and Bang had the common directors and were also the associate/ group companies of each other. NBSPL was found executing several cross deals during the relevant period.

Subsequently, a Show Cause Notice (hereinafter referred to as ‘SCN’) dated January 12, 2005, under Regulation 13(2) of the Enquiry Regulations was issued by SEBI to NBSPL and Bama, asking them to show cause as to why the appropriate penalty including penalty recommended by the Enquiry Officer, should not be imposed. NBSPL and Bama were advised to reply to the SCN, together with the documents that it may choose to rely upon in support of his reply within fifteen days of the receipt thereof. It was also informed that in case of failure, it would be presumed that it has no explanation to offer and SEBI shall be free to take such action in the manner as deemed fit. A copy of the Enquiry Report was also forwarded to the NBSPL and Bama along with the said SCN.
