Page 2 of 18 “… … the Offer of NCDs is stated to have been made on a private placement basis, yet, it is observed that through the same, WICL issued and allotted 1,62,794 NCDs and mobilized approximately Rs. 16.28 Crores as on March 31, 2012. I feel it is an eminently reasonable conclusion to draw from the aforesaid facts that the Offer of NCDs would have also been subscribed several times over the threshold for a private placement i.e. 49 persons, for attaining the mobilization of Rs. 16.28 Crores. I therefore, find that the Offer of NCDs was nothing but a public issue of securities under the first proviso to Section 67(3) of the Companies Act, 1956.”

Shri Harish Chandra, is prohibited from continuing with its present assignment as a debenture trustee in respect of the Offer of NCDs of WICL and also from taking up any new assignment or involvement in any new issue of debentures, etc. in a similar capacity, form the date of this order till further directions;
