Page 2 of 6 58.19% of the voting capital of the target company and that of the promoter group (including the acquirers) would increase from 57.65% to 58.71% and hence, the acquirers sought exemption from the applicability of Regulation 11(2) of the Takeover Regulations, inter alia on the following grounds:
