Page 3 of 9 paid by VGL to the promoters in fulfilment of the obligations under the sanctioned scheme and the preferential issue of 19,03,500 equity shares of `10 each to the prompters/noticees was in discharge of this obligation under the sanctioned scheme. Therefore, it has been submitted that the acquisition by the Noticees is ‘pursuant to a scheme’ sanctioned under the SICA, and in terms of regulation 3(1)(j) of the Takeover Regulations, 1997, it is eligible for exemption from the applicability of regulation 11 of Takeover Regulations, 1997.
