Order in the matter of IGSL Page 2 of 34 2. SEBI conducted an investigation into the company's affairs in relation to the Initial Public Offer ('IPO') of equity shares of IGSL. Post public issue and allotment, listing of the company's securities on BSE and NSE took place on August 04, 2011. The total shares traded on the listing day to shares offered through the IPO were 6.72 times on BSE and 8.40 times on NSE. The IPO was graded by Fitch Ratings India Private Limited and ICRA and both the agencies had graded the IPO with a rating of "2" indicating below average fundamentals. The customer funding is provided against a margin of approximately 25-50% and is available only for purchase of shares which form part of our “Approved List of securities”.... Our Company [IGSL] believes that such investment in IFPL is in line with its strategy of expanding its core businesses and will also help us to strengthen the respective balance sheets... To enable clients to take greater participation in different segments of capital market, IFPL provides loan against shares to various clients, including our broking clients. Through such financing clients pay a partial sum of stock price and the balance is then funded by IFPL at an interest.... IFPL is RBI registered NBFC and is in the business of advancing loans to clients for acquisition of shares/stock/ bonds/ debentures/ securities issued by government or local authority or other securities of like marketable nature. This facility provides the clients with the opportunity to buy shares listed on the stock exchanges on credit."
