Final Order in the matter of Delta Leasing and Finance Ltd. Page 2 of 61 Delta Leasing and Finance Ltd. (hereinafter referred to as “the Company”). Investigation has found that promoters of the Company had indulged in manipulation of the volume of the shares traded in the market by dealing in the scrip of the Company in such a manner where the promoter/promoter connected entities had transferred a substantial portion of their holdings through off market to the suspected entities group who had in turn sold the shares so received, in the market. The counter party buyers for these sale transactions were also amongst the suspected entity group who had transferred back the shares so bought, to the promoter/promoter connected entities through off market transfer either directly or in directly through other suspected entities. The extent to which the shares received through off market and sold in the market by the suspected entities and which were bought in the market by the counter party suspected entities and transferred back to the promoters group by them through off market transfers either directly or through other suspected entities constitute the artificial volume created in the market. As the entire shares transferred by the promoters group to the suspected entities had come back to them through market sale transaction by the suspected entities and subsequent off market transfer, there was no actual change in the ownership of the security in these transactions. Page 3 of 61 another investigation into 802 off-market transactions (spot transactions) carried out during the period from January 01, 2013 to December 31, 2014 (hereinafter referred to as “Investigation Period”) into the scrip of the Company, to examine as to whether these off market transactions were carried out in accordance with provisions of Section 2(i)(a) of Securities Contracts (Regulation) Act, 1956 (hereinafter referred to as “SCRA, 1956”) or was there any violations of Section 13, Section 16 and Section 18 of SCRA, 1956 read with SEBI Notification G.S.R 219 (E) dated March 2, 2000 and SEBI Notification No. LAD-NRO/GN/2013-14/26/6667 dated October 03, 2013, or any other violation of provisions of SEBI Act, 1992 and PFUTP Regulations, 2003.
