Page 2 of 12 provisions of regulations 4 (1), 4 (2) (a), (b), (e), (g) and (n) of SEBI (Prohibition of Fraudulent and Unfair Trade Practices Relating to Securities Markets) Regulations, 2003 (hereinafter referred to as “PFUTP”) and clauses A (1), (2), (3), (4) and (5) of Code of Conduct for Stock Brokers as specified in Schedule II under Regulation 7 of SEBI (Stock Brokers and Sub Brokers) Regulations, 1992 (hereinafter referred to as “Brokers Regulations”).
Page 3 of 12 • It can be observed that in case of lack of opportunity, we have carried out extremely negligible or even zero volume. Had there been any intention to influence the price, the trades would have been carried out daily and that too with large volumes that impact the price of the security. • It is a common market practice under this activity to place orders of 1 (one) share at a fixed interval of say, 10 paise, 25 paise, 50 paise etc. • This is done with an intention to get the real time status of the ruling market price as the bid and offer rates prices on the Market watch window sometimes do not get refreshed on a real time basis. • Because of this order of one share, we are able to know in which direction the price of the particular script has moved or will likely to move. Based on this information, we are able to take the opportunity of price difference between two exchanges and thereby do the arbitrage business. • It also needs to be noted that there are multiple arbitragers in the company and it is quiet possible that the orders from the same broker are matched internally due to sheer number of terminal operators working in same security at the same time. • Only 0.09% of the Volume and 0.10% of the Value of transactions have been carried out in the Proprietary Account in GAEL. • Only 0.68% of the Volume and 0.74% of the Value of transactions have been carried out in the account of Mr. Deepak B. Desai in GAEL.
