Therefore, it was alleged that the Noticee has violated the provisions of regulation 18B of the SEBI (Stock Brokers and Sub-Brokers) Regulations, 1992 (hereinafter referred to as ‘Brokers Regulations’) read with SEBI Circular No. SMD/POLICY/Cir-11/97 dated May 21, 1997 which consequently, makes the Noticee liable for monetary penalty under section 15HB of the Securities and Exchange Board of India Act, 1992 (hereinafter referred to as ‘SEBI Act’).

Page 3 of 7 • T he Noticee has stated that Rishabh had informed it that they wanted to deal on Bombay Stock Exchange (BSE) through it in their own account only and not on behalf their clients. • T he Noticee has contended that there is no material on record to establish that it had entertained Rishabh as sub-brokers or that Rishabh had dealt through it on behalf of their clients. Merely, because the Noticee had adjusted their accounts with Rishabh through M G Capital Services Ltd. or that it maintained running account of Rishabh does not necessarily indicate that Rishabh had traded through it as a sub-broker. Further, transfer of deliveries from the demat accounts of Aruin Nigam and Abhay Nigam could not have raised any suspicion as they were partners of Rishabh.

Page 4 of 7 CONSIDERATION OF ISSUES AND FINDINGS 8. I have carefully perused the SCN, written submission of the Noticee and the documents available on record. The charge leveled against the Noticee, is that it has dealt with unregistered sub-brokers, namely, Rishabh and M/s. PSV Enterprises in violation of the provisions of regulation 18B of the Brokers Regulations read with SEBI Circular No. SMD/POLICY/Cir-11/97 dated May 21, 1997.
