It was alleged in the SCN that the Noticee has failed to redress the complaint of Ms DurgaSoniwithin the time specified and thereby violated the provisions of Section 15 C of the SEBI Act. The copies of the documents relied upon in the SCN were provided to the Noticee along with the SCN.

Vide email dated November 9, 2012, Noticee submitted its reply to the SCN and inter alia mentioned the following: (a) The complainant did not furnish any particulars regarding the shares sent by her for conversion/endorsement/splitting. These details were sought from the complainant by the Noticee to process the complaint. Since the details pertaining to the shares were not received from the complainant, it was mentionedthat theNoticee was not in a position to redress the complaint of Ms DurgaSoni. (b) M/s GNSA Infotech Limited(the Registrar and Share Transfer Agent of the Noticee and hereinafter referred to as“RTA”) had already informed SEBI vide itsletter Ref/GNSA/SEBI/Reply/May/2012 dated June 1, 2012 regarding the status of the complaint of Ms DurgaSoni. A copy of the letter dated June 1, 2012, which was addressed to SEBI by the RTA was also enclosed by the Noticee. (c) It was mentioned in the letter dated June 1, 2012 that the details of the shares sent for conversion by Ms DurgaSoni was not found in the shareholder master records of the Company. It was also mentioned that the RTA/Noticeedid not receive any communication from Ms DurgaSoni in the matter of the complaint filed by her against the company. (d) Noticee mentioned that a reminder was sent to the complainant through SCORES on November 9, 2012 advising the complainant to submit the details pertaining to the shares such as folio number of the share certificate, certificate number etc. Noticee also enclosed a copy
