Investigations by SEBI have revealed that a group of connected clients (directly or indirectly connected amongst themselves or connected with KCL/their promoters) were found to have been dealing through different members and these connected clients were found to have purchased 48,64,168 shares and sold 23,75,864 shares of KCL accounting for 14.67% and 7.16% of the total market volume of KCL respectively. It is also alleged that M/s. Indiabulls Securities Ltd. (hereinafter referred to as ‘Noticee’) traded for some of the said interconnected clients viz. Amar Adhav, Umesh Choukekar, M/s New Leader Trading Company Pvt. Ltd., M/s Vintel Securities Ltd., M/s Rightstar Trading Compnay Pvt. Ltd. Some of the said clients of the Noticee viz. Amar Adhav, Umesh Choukekar, M/s Rightstar Trading Compmany Pvt. Ltd. have also traded in the scrip of MCL which is also manipulated scrip. Details of inter connection of said clients was provided to Noticee as an Annexure VI to Show Cause Notice (SCN). During the period from February 10, 2005 to September 09, 2005, out of 16,96,170 shares so purchased by Noticee, 8,48,051 shares were found to have been purchased for connected clients which accounted for 50% of its trades. During the period July 08, 2005 to September 16, 2005 it had the highest concentration of around 21% in terms of gross purchases in the scrip of KCL.

Ms. Babita Rayudu was appointed as the Adjudicating Officer vide order of SEBI dated August 31, 2007 under section 15-I of the Act r/w rule 3 of SEBI (Procedure for holding Inquiry and Imposing Penalty by Adjudicating Officer) Rules, 1995 (hereinafter referred to as the Adjudicating Rules) to inquire into and adjudge under Section 15HB of the SEBI Act, the alleged violations of the above mentioned provisions.
Page 4 of 14 b. Out of total period of 153 days between February 10, 2005 to September 16, 2005, our clients have traded on very few occasions ranging from 2 to 11 days. Except Vintel Securities all the clients have started the trading when the rate of scrip was already high and the market was volatile. c. We have no relations or connections with KCL and clients except that of Broker and client. While taking instructions from clients and executing trades on their behalf, we had no reasons to suspect that the said persons are indulging into scheme of such activities. Before commencing trading for said clients we have dully obtained KYC form along with Member Constituent Agreement. Transactions carried out by us on behalf of said clients were pursuant to and in consonance with the instructions of said clients in the normal course of business in securities market. We do not advise our clients to trade in any particular stock. d. From February 10, 2005 to September 16, 2005 we had undertaken a number of trade instructions from about 62 clients including 5 alleged connected clients. The alleged connected clients were trading in other scrips during the said period. M/s. Vintel Securities traded in 163 scrips, Amar Adav in 53 scrips, Umesh Choukekar in 37 scrips, Rightstar Trading Co. Pvt. Ltd. in 6 scrips and New Leader Trading Co. Pvt. Ltd. in 5 scrips. e. The financial results of KCL showed an announcement in July 2005 that the company had received two orders from NPDCL and EPDCL
