SEBI has initiated adjudication proceedings under the SEBI Act against Mr. Arwind Makwana (hereinafter referred to as the ‘Noticee’) on account of allegedly violating the provisions of Regulations 4(1), 4(2)(a), 4(2)(b), 4(2)(e) & 4(2)(g) of SEBI (Prohibition of Fraudulent and Unfair Trade Practices) Regulations, 2003 (hereinafter referred to as ‘PFUTP Regulations’).
Page 3 of 12 Richtone Fintrade and Investment Pvt. Ltd. had off market transactions with the promoters/directors of KCL viz. Mr. Mit Shah and Akshat Shah on March 21, 2005 and with Mr. Bipin Shah and Ms. Bhavana Bipin Shah on March 22, 2005 who are connected with the promoters of KCL. It is also alleged that Noticee sold 75000 shares of KCL in Market. It is also alleged that Noticee shares common address as “Sanskriti Tradelink, 59 Hirabhai Market, D. B. Road, Kankaria, Ahmedabad – 22” with Prajapati Ganeshbhai Punamchand, Naidu Mohanbhai Narayanbhai and Lalchand Mewara who are also alleged to be involved in manipulating the scrip of KCL.
Page 4 of 12 7. Subsequently, the then Adjudicating Officer was sent on deputation and thereafter the undersigned was appointed as the Adjudicating Officer in the instant matter vide SEBI Order dated November 23, 2007.
