SEBI has initiated adjudication proceedings under the SEBI Act against Mr. Bipin Shah (hereinafter referred to as the ‘Noticee’) on account of allegedly violating the provisions of Regulations 3(a), (b), (c), (d) & 4(1) of SEBI (Prohibition of Fraudulent and Unfair Trade Practices) Regulations, 2003 (hereinafter referred to as ‘PFUTP Regulations’).
Page 3 of 11 6. Further, investigation by SEBI revealed that the Noticee each on March 14, 2005 and March 15, 2005 received a sum of Rs. 5 Lakhs from KCL. It was further observed by the Investigation that Mr. Mahendra C Shah and Ms. Hasu M Shah who are the first directors of M/s Ceetee Trading and Leasing Pvt. Ltd. are also the promoters of KCL. Thus it is quite clear that the Noticee, KCL, M/s Ceetee Trading and Leasing Pvt. Ltd. and their promoters are connected. Further, Noticee’s off market deals with M/s Richtone Fintrade and Investment Pvt. Ltd. reveals further connection between the Noticee, KCL, KCL’s Promoters and other connected entities since M/s Richtone Fintrade and Investment Pvt. Ltd had off market transactions with the promoters/directors of KCL viz. Mr. Mit Shah and Akshat Shah on March 21, 2005.
