The shares received in the off market were later used to complete the market obligations of the various connected entities. The transfer of shares of KCL in the off market deals between several entities further established linkages between the entities. It is alleged that the Noticee also forms a part of the said connected entities who have acted in tandem with each other in manipulating the scrip of KCL. It is alleged that Noticee is connected to other through off market transactions and common address. Further Noticee was the director of Richtone Fintrade and Investment Pvt Ltd, another connected entity. Richtone is in turn found to be connected with the promoters of KCL through off market deals. The details of the market and off market transactions done by various connected entities including the Noticee were provided to Noticee as an Annexure 3 to SCN.

Ms. Babita Rayudu was appointed as the Adjudicating Officer vide Order of SEBI dated August 31, 2007 under section 15-I of the Act r/w Rule 3 of SEBI (Procedure for holding Inquiry and Imposing Penalty by Adjudicating Officer) Rules, 1995 (hereinafter referred to as the Adjudicating Rules) to inquire into and adjudge under Section 15HA of the SEBI Act, the alleged violation of the provisions of Regulations 3 (a), (b), (c), (d), 4(1), 4(2)(a), 4(2)(b), 4(2)(e) & 4(2)(g) of PFUTP Regulations.

Page 4 of 10 after which the company was suspended and hence was unable to encash his investments for a long time. That in the year 2005, he had arranged short term loans from his friends and relatives for making payment of allotment money of the aforesaid partly paid shares. ¾ That to repay the short term loan, he requested Alliance Intermediaries & networth Pvt Ltd (Alliance) to arrange funds against securities of 3, 70, 000 shares. Since Alliance could not arrange required funds in time, the shares were demanded back. Out of these shares, 3,10,215 shares were received back during the period from January 8, 2005 to April 5, 2005 through off-market trades. The balance 59,785 shares have not been returned back to the Noticee till date for which regular follow up is done by him. ¾ That he had approached finance brokers for his fund requirements against security of KCL shares. On their advice he had transferred 50,000 shares to Vijay Bhagwandas Shah on March 16, 2005; 10,000 shares to Lalchand Mewara on April 28, 2005 and 90,000 shares to Arwind Makwana during the period May 19, 2005 to June 4, 2005 through off-market trades. That since the Noticee had not received the required money against security of KCL shares, the Noticee had sold nearly 2,00,000 shares at around Rs.30/- in April, 2005. ¾ That currently, the Notice is holding 18,69,500 shares of Rs.2/- each in physical form and 60,010 shares of Rs.2/- each in demat account with Indusind Bank. ¾ That the Noticee does not kn
