Ms. Babita Rayudu was appointed as the Adjudicating Officer vide order of SEBI dated October 6, 2006 under Section 15-I of the Act r/w Rule 3 of SEBI (Procedure for holding Inquiry and Imposing Penalty by Adjudicating Officer) Rules, 1995 (hereinafter referred to as the Adjudicating Rules) to inquire into and adjudge under Section 15A (b) of the SEBI Act, the alleged violation of the provisions of Regulation 13 (3) of the said IT Regulations for the alleged non-disclosure of the shareholding or voting rights of the noticee in the said scrip of ZSL to the company resulting in the alleged violations.

Brief facts giving rise to the present proceedings are as under: Investigation conducted by SEBI had revealed that the Noticee which is an associate/group company of ZSL had decreased its holding from 6.1% to 3.87% paid up capital by quarter ending October 30, 2003 comprising of 573, 832 shares, in the company ZSL and has not filed necessary disclosures to the company as required under Regulation 13 (3)1 of the said IT Regulations which has been stated earlier.
