SMD/Policy/Cir5-97 dated April 11, 1997 and SEBI Circular No. SMDRP/Policy/Cir-49/2001 dated October 22, 2001 (hereinafter referred to as SEBI Circulars) u/s 15A(c) and 15HB of SEBI Act.

Sharma, Kanwal Nain Wahi and Anant Securities. (e) Noticee dealt with unregistered sub-broker viz. Anant Securities, S.K. & Co., M/s Embro Finvest Ltd. and M/s. Aditi Information Tech (P) Ltd. (f) Noticee provided trading terminals to unauthorized person viz. S.K. & Co. at places other than that of Noticee’s registered office or its registered sub broker office. (g) Noticee failed to segregate clients’ funds from its own funds. Noticee transferred funds between clients account and Noticee’s own accounts the details of which were provided to the Noticee as an Annexure I and II to the SCN.

It had entered into an agreement with its client S.K & Co. but at the time of inspection, the same was not traceable at its end. It submitted a copy of the said agreement. d. It was not using pre-printed client registration form at the relevant time. The forms were either generated on its computer or readily available forms were used. Subsequently, it got printed client registration form as prescribed by SEBI and submitted copies of relevant KYC Forms of the three clients in question. e. Mr. Gurubachan Singh Chhabra is registered as an individual client and therefore Annexure A for application for registration of him was not obtained as the same is not required for individual clients. f. As far as dealing with unregistered sub-broker is concerned, Noticee submitted that all the entities viz. Anant Securities, S.K & Co. and M/s. Aditi Information Tech. (P) Ltd. were registered as client and submitted member client agreement form for the above named entities. Noticee also submitted confirmation letter of its client stating that they had carried out share transactions through it on their own account only and done trading for themselves only. g.
