Adjudication Order in respect of TCW Galileo Funds, Inc. Page 2 of 5 31/03/2009 4. In response to the SCN, the FII vide undated letter, received by SEBI on July 26, 2008, submitted that the FII was and is a non-investing FII with no purchase or sales of securities or holding in any of the sub-accounts. In December of 2005, TCW Galileo Funds, Inc. became TCW Funds, Inc. In February of 2006, State Street Bank & Trust, Custodian & Administrator was notified of the name change and asked to assist the FII in effecting name change in all of its open accounts around the world. The FII further submitted that as this is inherently a laborious process with a great deal of paperwork involved, it was understood that the immediate focus needed to be in those markets where the Funds held security positions. Secondary focus was given to those markets where the Funds had recently invested but currently held no position. India did not fall under either of the above scenarios.

The FII vide aforesaid letter submitted that neither an officer of the FII nor an authorized representative would appear before the undersigned at the hearing scheduled for March 24, 2009. The FII further submitted that the principal reason for the failure to timely notify SEBI of the name change was that it was determined to let the Fund’s Sub-account in India expire since it was not used. The decision was made in June 2006. It was also submitted that the reason why SEBI was not timely notified was that the account was, and still is, inactive.
