2 3. It was observed during the course of investigation that there were substantial off market transactions in the demat account of Shri Jagadish Savaji (hereinafter referred to as “Noticee”). Further it was alleged that the Noticee had been holding 34.60 lakh shares (9.88%) of the Company on 13.04.02. It was also alleged that he has not intimated the Company under Regulation 7 of SEBI (Substantial acquisition of Shares & Takeovers) Regulations, 1997 (hereinafter referred to as “Takeover Regulations”) and thereby violated Regulation 7(1) of SEBI Takeover Regulations. In addition, it was also alleged that there is non-compliance with Regulation 13 of SEBI (Prohibition of Insider Trading) Regulations, 1992 since he sold the shares on 13.04.1002 (more than 2% of the voting capital but did not inform the Company).
3 SHOW CAUSE NOTICE/REPLY 7. A show cause notice in terms of the provisions of Rule 4(1) of SEBI (Procedure for Holding Inquiry and Imposing Penalties by Adjudicating Officer) Rules, 1995 was issued to the Noticee on February 03, 2005 seeking reply of the Noticee as to why an inquiry should not be held against the Noticee in respect of the violations alleged to have been committed by him.
4 Authority. Further Section 11 C (3) empowers the Investigating Authority of SEBI to require any intermediary or any person associated with securities market in any manner to furnish such information to, or produce such books or registers or other documents or record before him or any person authorized by it in this behalf as it may consider necessary if the furnishing of such information or documents are necessary.
