Adjudication Order in the matter of GHCL Ltd. Page 2 of 18 FACTS OF THE CASE IN BRIEF 1. Securities and Exchange Board of India (SEBI) conducted investigation into the trading in the scrip of M/s GHCL Ltd. (GHCL/company) for examining possible violations of Securities and Exchange Board of India Act, 1992 (SEBI Act), SEBI (Prohibition of Fraudulent and Unfair Trade Practices relating to Securities Market) Regulations, 2003 (PFUTP Regulations) and SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 1997 (Takeover Regulations).

Thus, it was revealed that by falsely including other shareholder's holding as the holding of the promoter entities and thereby reporting inflated shareholding to GHCL, which in turn, reported the same to the stock exchanges, the Noticees have violated regulations 3 (a), (b), (c) and (d), 4 (1) and 4 (2) (f) of the PFUTP Regulations read with section 12 A(a), (b) & (c) of SEBI Act and regulation 8 (2) of Takeover Regulations for the financial year ended March 31, 2008. The investigation further revealed that the Noticees had contributed to 2% or more change in shareholding which was triggered on January 4, 2007, April 27, 2007, October 5, 2007, December 20, 2007, January 15, 2008, February 15, 2008, April 7, 2008, May 2, 2008, May 16, 2008, May 29, 2008, June 10, 2008, June 19, 2008, and August 12, 2008 and such a change aggregating 2% or more of the share capital of GHCL was required to be disclosed to GHCL which the Noticees had failed to do. Hence, it is alleged that the Noticees have violated the provisions of 7(1A) of the Takeover Regulations.
