Adjudication Order in respect of SAMCO Securities Limited in the matter of SAMCO Securities Limited Page 2 of 23 that Noticee allegedly failed to fulfill the provisions of SEBI circular no. MIRSD/SE/Cir- 19/2009 dated December 03, 2009 regarding quarterly or monthly settlement of funds and securities to be done by the broker, at least once in a calendar quarter or month depending on the preference of the client. OD further observed that the Noticee allegedly failed to comply with the provisions of clause A(5) of Schedule II read with Regulation 9(f) of SEBI (Stock Broker and Sub broker) Regulations, 1992 (in short ‘Brokers Regulations’). A copy of inspection report along with the annexures was forwarded to Noticee for its comments / explanation. Based on the said inspection and after examination of Noticee’s comments / explanation, OD initiated adjudication proceedings against the Noticee and being satisfied that there are sufficient grounds to inquire into and adjudicate upon, the competent authority vide order dated September 20, 2017, approved appointment of an Adjudicating Officer (in short AO), Ms. Rachna Anand, in terms of Securities Contracts (Regulations) Procedure for Holding Inquiry and Imposing Penalties by Adjudicating Officer) Rules, 2005 (in short ‘AO Rules, 2005’) and SEBI (Procedure for Holding Inquiry and Imposing Penalties by Adjudicating Officer) Rules, 1995 (in short ‘AO Rules, 1995’).

Appointment of AO, Ms Rachna Anand, was conveyed to her vide communique dated February 15, 2018. Matter was then transferred to AO, Ms. Anitha Anoop vide order dated March 25, 2019 and finally to undersigned AO, Ms. Sangeeta Rathod vide communique dated May 10, 2019.

Adjudication Order in respect of SAMCO Securities Limited in the matter of SAMCO Securities Limited Page 4 of 23 OD observed that as per data submitted by the Noticee, the settlement of clients funds are not done on monthly/ quarterly basis as shown under- - Out of 50 sample active clients, on 2 instances credit balances of more than Rs. 10,000 amounting to Rs. 26,59,687 was not settled. - Out of 25 sample inactive clients, 13 clients were not settled amounting to Rs. 4,05,407.85 (funds). The details of 15 non-settled accounts are enclosed at annexure IV to the SCN. In view of the above, it is alleged that the Noticee has failed to comply the provisions of SEBI circular dated December 03, 2009 which stipulates that actual settlement of funds and securities shall be done by the broker, at least once in a calendar quarter or month depending on the preference of the client. Also, for the above non-compliance, the Noticee has allegedly failed to comply with the provisions of clause A(5) of Schedule II read with Regulation 9 (f) of Stock Broker Regulations.
