Adjudication order in the matter of SDC Techmedia Limited Page 2 of 11 aforementioned acquisition, the Noticee was required to make the necessary disclosure in terms of regulation 29(1) read with regulation 29(3) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 (hereinafter referred to as ‘SAST Regulations’) to the BSE and SDC, respectively. However, Noticee had allegedly failed to make the relevant disclosure within the stipulated time period. In view of the same, it is alleged that Noticee has violated the provisions of Regulation 29(1) r/w Regulation 29(3) of the SAST Regulations.

Adjudication order in the matter of SDC Techmedia Limited Page 3 of 11 dated February 20, 2018, to acquire up to 25,97,000 equity shares constituting up to 40% of the then paid up share capital of SDC. Subsequently, the Noticee acquired 25,90,000 equity shares of SDC constituting 39.89% of the paid up capital and also became the co-promoter of SDC as on May 18, 2018. Pursuant to the aforementioned acquisition, it is observed that the shareholding of the Noticee in SDC increased from Nil to 39.89% as on May 18, 2018.

In the interest of natural justice, Noticee was provided with an opportunity of personal hearing in the matter on May 07, 2021, through the online webex platform. Ms. Shailashri Bhaskar and Mr. Vishal Garg appeared as the Authorized Representatives (hereinafter referred to as ‘ARs’) on behalf of the Noticee on the stipulated date of hearing. During the hearing, the ARs reiterated the submissions made by the Noticee in his letter dated April 10, 2021.
