It was observed that Delhi Transco Limited (hereinafter referred to as the Noticee / Company) was one of the Companies which failed to comply with the provision of regulation 52(1) of LODR Regulations, 2015. Accordingly, SEBI initiated adjudication proceedings against the Noticee for the aforesaid non-compliance of regulation 52(1) of LODR Regulations, 2015. APPOINTMENT OF ADJUDICATING OFFICER

SEBI examined the compliance status of the Noticee with regard to the regulation 52(1) of LODR Regulations, 2015 and the information sought from the stock exchanges. From the BSE e-mail dated December 22, 2020, SEBI observed the following: Financial Results pertaining to September 30, 2020 Due date Filed on Compliance status November 15, 2020 Not submitted Not complied As per regulation 52(1) of LODR Regulations, 2015 the listed entity shall prepare and submit un-audited or audited financial results on a half yearly basis in the format as specified by the Board within forty-five days from the end of the half year to the recognised stock exchange(s). It is alleged that Noticee failed to submit the half year result for the period ended September 30, 2020. Therefore, it is alleged that Noticee violated the provision of regulation 52(1) of LODR Regulations, 2015.

On the scheduled ate of hearing i.e. on February 17, 2021, the AR attended the hearing and reiterated the submissions made by the Noticee vide letter dated February 05, 2021. During the proceedings of hearing, the ARs requested for seven days’ time to submit fresh submissions and the same was accede to. Accordingly, Noticee vide letter dated February 23, 2021 submitted its reply. Reply of the Noticee vide letters dated February 05, 2021 and February 23, 2021 are as under: a) Delhi Transco Limited (DTL) is a Government of NCT of Delhi Undertaking engaged in the business of transmission of power in the National Capital Territory of Delhi. It is also the State Transmission Utility of the Govt. of NCT of Delhi.
