2 | P a g e Adjudication Order In respect of Karvy Capital Ltd in the matter of Vaishno Devi Dairy Products Ltd., (Presently known as Sahindra Vaishno Devi Dairy Products Ltd. It is observed that Karvy Capital Ltd., was appointed as Debenture Holders Representative and was also appointed to act as Sole Book Runner and Lead Arranger (hereinafter referred to as Noticee/KCL/Karvy). On the basis of the said examination, It is alleged that Noticee had acted in a fraudulent manner and thereby violated the provisions of Regulation 3(a) of SEBI (Prohibition of Fraudulent and Unfair Trade Practices Relating to Securities Market) Regulations, 2003 while dealing with issuance of NCDs by SVDDPL . In view of the above, adjudication proceedings were initiated against the Noticee under the provisions of section 15HA of the SEBI Act, 1992, for the alleged violation of the provisions of regulations 3(a) of PFUTP Regulations, 2003.
