Investigation revealed that between May 26, 2017 and October 30, 2017 (hereinafter referred to as “the investigation period” or the “the relevant period”), the price of the scrip of VCL first increased from an opening price of Rs. 52.80 as on May 26, 2017 to a closing price of Rs. 56.15 on June 16, 2017 (hereinafter referred to as “Price Rise Patch” or “Patch I”), and subsequently fell from an opening price of Rs. 57.20 on June 19, 2017 to a closing price of Rs. 11.85 on October 30, 2017 (hereinafter referred to as “Price Fall Patch” or “Patch II”). c. The company had made a preferential allotment of 21,00,000 equity shares to 30 entities on June 27, 2014. Six out of the thirty preferential allottees sold 70.3% of their shares during the relevant period and made a profit in the range of Rs. 6,48,084 to Rs. 19,19,625. One of the promoters of the company, viz., Shilpa Bhatia, sold her entire shareholding in VCL during the relevant period. d.
