Securities and Exchange Board of India (hereinafter referred to as “SEBI”) initiated adjudication proceedings against Bhupendra R. Jain (“Noticee 1”), Kiran R. Jain (“Noticee 2”), Rani B. Jain (“Noticee 3”), M. Swetha (“Noticee 4”), Mukesh Kumar HUF (“Noticee 5”), Pooja (“Noticee 6”), Uttam Chand HUF (“Noticee 7”), Sapna Agarwal (“Noticee 8”) and Dilip Kumar Saboo (“Noticee 9”) (hereinafter referred to as “the Noticees”) under Section 15HA of the SEBI Act, 1992 (“hereinafter referred to as the “SEBI Act”) for alleged violation of Section 12A (a), (b), (c) of the SEBI Act read with Regulations 3 (a), (b), (c), (d) and 4 (1) and (2) (a) and (e) of the SEBI (Prohibition of Fraudulent and Unfair Trade Practices) Regulations, 2003 (“PFUTP Regulations”).

It was observed that 19 entities out of the aforesaid 20 preferential allottees had transferred Pincon shares to 912 entities in off-market through physical and/or demat mode. Out of the aforesaid 912 entities, 304 entities were observed to have sold the shares on BSE in the scrip of Pincon during the investigation period.
