The definition of related party transaction as given in Accounting Standard – 18 is reproduced as under: “10.1 Related party transaction - a transfer of resources or obligations between related parties, regardless of whether or not a price is charged”. From the above definition, it is clear that price is not the criteria to determine the related party transaction. Hence the statement of the Noticee that there was no interest charged on ZSL for receipt of funds and therefore they were not regarded as ‘transactions’ requiring disclosure is allegedly incorrect. The Noticee should have qualified the absence of such disclosure in the Annual Report, however the Noticee allegedly failed to do the same.

Noticee submitted that although the SCN refers to non-disclosure of transactions between ZSL and Sthithi Insurance Services Private Limited ('Sthithi') in the 2012 Annual Report, the SCN fails to provide details of transactions which were not disclosed in the 2012 Annual Report and lacks particulars. SEBI only provided SCN, an extract of the Investigation Report and an email dated March 04, 2016 from Mr. Ramanujam Sesharathnam to the Noticee, despite seeking Inspection of the documents.
