Adjudication Order against PACL Limited in the matter of non-compliance of summons Page 2 of 35 (hereinafter referred to as “SEBI Act, 1992”) and SEBI (Collective Investment Schemes) Regulations, 1992 (hereinafter referred to as “CIS Regulations”). 2. Hon’ble Supreme Court of India vide its order dated February 26, 2013, inter-alia, permitted SEBI to issue a comprehensive Show Cause Notice to the Noticee after carrying out necessary inspection, investigation, inquiry and verification of accounts and other records of PACL. In terms of the aforesaid order of Hon’ble Supreme Court, SEBI issued several letters and summons to the Noticee advising it to provide certain information/documents, in relation to the investigation being carried out by SEBI. However, despite the several aforesaid communications / summons/ reminders etc., the Noticee failed to provide the complete required information / return / documents etc to SEBI. In view of the above failure of the Noticee to comply with the summon issued by SEBI, it is alleged that the Noticee had failed to comply with the summons issued under Section 11 C(3) of the SEBI Act, 1992 ( hereinafter referred to as ‘SEBI Act’) and adjudication proceedings were initiated against the Noticee under the provisions of Section 15 A (a) of the SEBI Act, 1992. Adjudication Order against PACL Limited in the matter of non-compliance of summons Page 3 of 35 Adjudication Rules read with section 15 I of the SEBI Act, to show cause as to why an inquiry should not be initiated and penalty be not imposed under the provisions of section 15A(a) of the SEBI Act 1992, for the aforesaid alleged contravention of the provisions of law by the Noticee. The SCN issued to the Noticee inter alia mentioned the following : a) In terms of order dated February 26, 2013 of Hon’ble Supreme Court of India, SEBI vide letter dated March 19 & 20 of 2013 advised the Noticee to provide certain information/documents as per annexure attached therewith, within a period of 10 days from the receipt of letter. The Noticee vide letter dated March 22, 2013 had informed that Mr. Rajeev Gupta (Company Secretary) has been appointed as Nodal Officer / Contact Person in compliance with the direction of Hon'ble Supreme Court of India. The Noticee (through its aforesaid Nodal Officer) vide letter dated March 30, 2013 provided only the part information and sought 4 weeks’ time to provide the remaining information / documents. b) As the complete information was not provided by the Noticee, the Investigating Authority issued summons dated April 11, 2013 under section 11 C (3) of the SEBI Act, requiring the Noticee (through its Managing Director) to provide the information / documents / reports etc. as mentioned in annexure attached therewith, by April 18, 2013. In response to the

In respect of said summon, the Noticee (through Managing Director) vide letter dated May 13, 2013 sought 4 days’ time to appear and to furnish the information / documents as sought. The Managing Director of the Noticee appeared before the Investigating Authority on May 14, 2013, and his statement was recorded. e) However, despite the several aforesaid communications / summons etc., the Noticee failed to provide the complete required information / return / documents etc. as shown in the annexure attached therewith. f) Therefore, in view of the above failure to provide the complete required information / return / documents etc, it is alleged that the Noticee had violated Section 11 C (3) of the SEBI Act.
