______________________________________________________________________ Adjudication Order in the matter of Voltaire Leasing Finance Limited Page 2 of 37 Broking Ltd (PAC) at a price of Rs. 50/- per share in terms of the provisions of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 (hereinafter referred to as SAST Regulations, 2011 wherein it was observed from the shareholding buildup of promoters that the shareholding of the seller promoter Ms. Madhuri O Damani ('Madhuri'/'Promoter') had significantly reduced from 74.04% on March 31, 2011 to 9.32% on March 25, 2013. The preferential allotments were made by Noticee No. 1 on November 22, 2012 (14,60,000 shares, 35.45% of total shareholding) and March 13, 2013 (13,18,000 shares, 32.01% of total shareholding) and August 03, 2013 (9,40,000 shares, 22.83% of total shareholding), hence, the period between November 22, 2012 and August 03, 2013 was taken as investigation period (hereinafter referred to as the “Investigation Period”).

The total holding of all these Noticees as PACs adds upto 15.83% in VLFL. Since Noticee Nos. 4 to 7 (Baid family) failed to provide any disclosures to BSE, they were alleged to have violated Regulations 29(1) and 29(3) of the SAST Regulations. B.
