Adjudication Order in the matter of Beckons Industries Limited Page 2 of 31 2. Based on the observations made during the investigation, it was inter-alia alleged that GDRs were issued in a fraudulent way by way of credit agreement and account charge agreement by Beckons, In this regard, it was inter alia alleged that the directors of Beckons namely Mr. Gurmeet Singh (hereinafter referred to as “Noticee-1”), Mr. I. S. Sukhija (hereinafter referred to as “Noticee-2”) and Mr. H. S. Anand (hereinafter referred to as “Noticee- 3”) inter alia approved the board resolution and authorized the EURAM Bank to use the Beckons’ GDR proceeds deposited with EURAM Bank as security in connection with loan and Managing Director i.e. Noticee-1 executed the Pledge Agreement. In view of the above, it was alleged that the Noticees violated the provisions of section 12A (a), (b) and (c) of Securities and Exchange Board of India Act, 1992 (hereinafter referred to as “SEBI Act, 1992”) read with regulations 3(a), (b), (c), (d) and 4(1) of SEBI (Prohibition of Fraudulent and Unfair Trade Practices relating to Securities Market) Regulations, 2003 (hereinafter referred to as “PFUTP Regulations, 2003”)
