Upon being satisfied that the Noticees, prima facie, violated various provisions of SEBI Act and PFUTP Regulations, SEBI initiated adjudication proceedings u/s 19 of the SEBI Act, 1992 (“SEBI Act”) r/w Section 15 I (1) of the SEBI Act and Rule 3 of SEBI (Procedure for Holding Inquiry and Imposing Penalties) Rules, 1995 (hereinafter referred to as the “SEBI Adjudicating Rules”) and appointed the undersigned as Adjudicating Officer, vide Order dated January 24, 2025 to enquire into and adjudge u/s 15HA of SEBI Act for the alleged violations of section 12A(a), (b),(c) of the SEBI Act r/w regulation 3(a), (b), (c), (d), 4(1), 4(2)(a), (k) and (r) of the PFUTP Regulations by the Noticees.

During investigation it was observed that Manish Mishra uploaded / circulated the YouTube videos related to false and misleading information about GGENG with a buy recommendation in this scrip. 4.5. It was observed from the analysis that the false and misleading videos circulated by Manish Mishra impacted the volume and attracted new investors in the scrip during the period December 05, 2022 to December 12, 2022. It was also observed that the company did not issue any corporate announcements or any positive news during this period. Thus, it was observed that increase in volumes and new investors is due to the result of the impact of the false and misleading information about GGENG through YouTube videos. 4.6. The company came out with a rights issue in August – September 2022 and trading of these shares commenced from September 19, 2022. The price and volumes in the scrip were not high in Patch 1. Pursuant to the videos, the volumes increased substantially. However, the price in the scrip remained stable. The entities who had subscribed in the rights issue were the major net sellers pursuant to video upload. 4.7. Considering the above, the Investigation Period was divided into three patches. Patch 1(Pre Video Patch): September 19, 2022 to December 4, 2022, Patch 2 (Video Patch): December 5, 2022 to December 12, 2022, Patch 3 (Post Video Patch): December 13, 2022 to December 31, 2022. 4.8.
