Adjudication order in the matter of Satco Capital Markets Ltd Page 3 of 13 b) At the outset, we are surprised to see findings pertaining to the following six dates, namely; 08.07.2016, 06.08.2016, 14.08.2016, 24.08.2016, 03.09.2016 and 30.09.2016 whereas the inspection period was from 01.04.2015 to 30.06.2016. Therefore, the SCN has traversed beyond the scope of the inspection period, which is sought to be covered by it and has observed for the subsequent period and thereby has sought to fasten liability on us for alleged violations beyond the inspection period and thus the same is beyond the scope of the SCN. The SCN deserves to be withdrawn on this ground alone. c) We most humbly pray that irregularities, if any, may be viewed leniently since they were venial, technical and administrative lapse and not to evade compliance or in defiance of law. At the further outset and without prejudice to anything else herein stated, we offer our comments to the said SCN. d) We state and submit that we take utmost care to ensure client funds are segregated and the fund flow is as per the prescribed norms and circulars. It is submitted that the obligation of clients is met through client funds itself, which is maintained separately by us. It is pertinent to mention that we have own funds parked in Fixed Deposit Receipt ("FDR”) with Bank of India to the tune of Rs. 6.08 crores against which an OD facility has been sanctioned by the Bank. Secondly, it is submitted that as has been clarified above, 6 dates considered in the SCN are those dates, which fall beyond the scope of the inspection period. Thus, the total instances that may be considered for probable violation should effectively reduce from 17 instances to 11 instances. As far as the allegation that we have misused the client's funds in the range of amount of Rs. 24.27 Lakhs to Rs. 11.95 crores of credit balance clients for the purpose of debit balance clients, we deny that we have misused the client credit balance funds. f) We most humbly point out that there are also several cases of family adjustments, for which due offset of debit balances and credit balances ought to have been considered for the purpose of credit client balance. A copy of the Table with family adjustments is annexed herewith as "Exhibit 2". SEBI in its various other circulars have recognized the concept of family accounts. We state that if the above is considered, there will be no mismatch for date 02.04.2015. Thus, the total instances will effectively reduce from 11 instances to 10 instances. We wish to place on record, SEBI circular no. SEBI/HO /MIRSD2 /CI R/P/2016 /95 dated 26.09.2016 regarding Enhanced Supervision.
