Adjudication order in the matter of Simplex Infrastructures Limited Page 2 of 19 in terms of the relevant provisions of the LODR Regulations with respect to the disinvestment made by it in one of the subsidiary company, Simplex Infrastructures LLC (hereinafter referred to as ‘Simplex LLC’) during the FY 2015-16 (hereafter also referred to as the ‘examination period’). Specifically, it was alleged that the Noticee has violated the provisions of Regulations 4(1) (e), (h), (i), (j), 4(2) (b) & (e) and Regulations 30 (1), 30 (2) & 30(6) of the LODR Regulations

Adjudication order in the matter of Simplex Infrastructures Limited Page 3 of 19 a. It is seen that during the formation of the Simplex LLC in 2009, SIL contributed 70% of the paid-up capital and the remaining 30% was contributed by an Omani national. Simplex LLC was therefore known as a subsidiary company of SIL i.e prior to 2015-16. Subsequently, it is observed that in the year 2015-16, SIL disinvested 25% of its stake in Simplex LLC to a local company and accordingly, the shareholding of SIL in Simplex LLC came down from 70% to 45% and hence Simplex LLC was shown as associate company of SIL.

Adjudication order in the matter of Simplex Infrastructures Limited Page 4 of 19 in the opinion of the Board of Directors of the listed company as the transaction to sale a part of the stake in LLC was more of a regular business decision. b. the aforesaid disinvestment and the change in status of the foreign subsidiary to an associate company was duly disclosed in the annual report for the FY 2015-16 and nothing further was warranted under any of the' Regulations 4(1)(e), (h), (i) and (j) or the LODR Regulations as the event was not a material event of sale or disposal of the subsidiary and was only a limited disinvestment from 70% shareholding to 45% shareholding.
