Page 2 of 16 2. KBL was incorporated on January 13, 1994 with an initial focus on providing services as Registrar and Share Transfer Agents and other financial services. In the year 1997, the company came out with a public issue of 60,00,000 equity shares of Rs. 10 each at par aggregating to Rs. 6 crores. The shares were listed on Bombay Stock Exchange Ltd. [hereinafter referred to ‘BSE’] and Ahmedabad Stock Exchange Ltd. [hereinafter referred to as ‘ASE’] on April 25, 1997. Thereafter, in the year 2003, the name of the company was changed to Kolar Biotech Ltd. with main focus in the biotech sector. The registered office of the company is located at: Narayan Building, 2nd Floor, 23, L.N. Road, Dadar (E), Mumbai – 400 014.

A Show Cause Notice dated April 22, 2008 was issued to the noticee in terms of the provisions of Rule 4 of the Rules, requiring it to show cause as to why an inquiry should not be held against it and why penalty, if any, should not be imposed on it under Section 15HA of the SEBI Act, 1992 for violating the provisions of Regulation 3 and sub-regulations (1) and 2 (a) & (b) of Regulation 4 of SEBI PFUTP Regulations.

Page 4 of 16 d. As per the transaction statement of the noticee, it was observed that there was an off-market transfer into the account of Karu in the scrip of Alka India Ltd. On October 9 2003, 5 lakh shares of Alka India Ltd. were transferred from the demat account of the noticee to the demat account of Karu. Therefore it was alleged that the noticee was associated with Karu.
