In the normal circumstances, the total period of restriction of transfers under Regulation 78 is about 8 months, from the date of the shareholders’ meeting. However, in the instant case, there was a time gap of more than 13 months between the date of the shareholders’’ meeting and the date of allotment of shares, in view of the time taken in obtaining the SEBI relaxation under section 72.
