Page 2 of 30 SEBI Investigation, based on the KYC/UCC data, bank transactions, off market transactions and MCA data, had identified 2 groups of 25 and 19 entities (hereinafter also referred to as ‘Group1’ and ‘Group 2’ respectively and collectively referred to as “suspected entities”). Investigation concluded that some of the entities belonging to Group 1 and Group 2 were instrumental and had positively contributed to the price rise of the scrip during the investigation period with their buy orders by deliberately matching their orders at higher than LTP (Last Traded Price) even though the fundamentals of the company or any corporate actions were not supporting the price rise in the scrip.

Page 4 of 30 the price of the scrip had hit/ touched upper circuit on all these days and there were only buyers and no sellers TFL shares. We had no control in determining price and quantity of the trade.  Day wise analysis of order log, trade log of the aforesaid table on a daily basis clearly shows that a huge number of purchase orders were placed by various entities during the trading session and against which hardly one order was executed. Had the price rise be my intention, we would have purchased the shares throughout @ Rs. 22.05 to high of Rs. 330. We submit that our purchases were only for the investment purpose and not to raise prices as alleged.  Since the scrip was continuously hitting upper circuit, our orders were not getting fully executed and were getting partially executed for insignificant or miniscule quantity of shares.  Hence it can be observed from the investigation period that the highest Price in April 2013 was Rs. 87.10 and low Price was Rs 62.20 and from there the Price was increased to Rs 228 the closing Price for October 2013. We had noticed a particular trend / behaviour of in the above scrip by looking at the charts. The scrip was trending at making new high on a daily basis with limited volume action. Having noticed that the trade volume is generally low number of shares only, we observed that and to acquire the share, our buy order should be the first in the system and hence requested our broker to try to do so.
