Adjudication Order against Master Capital Services Ltd. in the matter of Era Infra Engineering Ltd. Page 2 of 11 and NSE while trading through several brokers including the Noticee (Master Capital Services Ltd). In view of the same, it was alleged that the Noticee, by acting as broker and counterparty broker for the self trades executed by Singh Consultancy Pvt Ltd in the scrip of EIEL, has failed to exercise due skill, care, and diligence, and thereby alleged to have violated Clause A(2) of the Code of conduct for Stock Brokers as stipulated in schedule II read with Regulation 7 of the Stock Brokers Regulations.

They have no relationship with Singh Consultancy beyond the broker-client relationship. vi. The client does not trade through them anymore and last dealt through them in 2010 i.e. way before the present proceedings. vii. Their group turnover at the relevant time was about Rs. 1873 crores per day and the alleged self trades was meager viz-a-viz their volume. viii. The investigation report itself elucidates the fact that the volume of alleged self-trades executed by Singh Consultancy through them was negligible (almost zero percent). The same were carried out with their knowledge, consent or role in alleged wrongdoing, if any, of the client. ix. There were no negative announcements by EIEL, and there was adverse information or cautionary notice about EIEL scrip issued by stock exchange or SEBI. There was no reason for their dealer to cast any suspicion w.r.t trading in the EIEL scrip. x. The market volume in EIEL for the relevant period was huge as 2,42,26,416 shares (2008) and 9,09,84,098 shares (2009), and the percentage of alleged self trades was miniscule. xi. The alleged self trades have taken place through them on merely 13 days (on both NSE and BSE) out of nearly 16 months of investigation period. xii.
