3. SEBI further observed that ABG and its non-independent directors are responsible for misleading the stakeholders of the company by approving financial results published over the years which were false and mis-stated as they have failed to perform the role entrusted upon them to protect the interests of the stakeholders of ABG. In view of the above, ABG and its non-independent directors including Mr. Ram Swaroop Nakra (hereinafter referred to as ‘the Noticee’) have been alleged to have violated the provisions of Section 12A(a),(b) and (c) of SEBI Act read with regulations 3(a), (c), (d), 4(1), 4(2) (e) (k) and (r) of SEBI (Prohibition of Fraudulent and Unfair Trade Practices relating to Securities Market) Regulations, 2003 (hereinafter referred to as ‘the PFUTP Regulations’) and Clause 49(I)(D)(ii) & 49(V) read with 41 and 50 of the Equity Listing Agreement (hereinafter referred to as ‘ELA’).
