Page 2 of 9 2. It was observed by SEBI that the Noticee had not complied with Regulations 6(2), 6(4) and 8(3) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 1997 (hereinafter referred to as the ‘SAST Regulations’).
Page 3 of 9 Consequent to the agreement and execution thereof, the acquirers made an open offer and the offer formalities were completed on February 02, 2010. The acquirers/present promoters of the company took over the management of the company after this date. Since the company has been taken over by the current promoters only in February 2010, and the same was probably managed without professional help earlier, returns/disclosures under Regulation 6 and 8 of the SEBI SAST Regulations, 1997 was not complied with by the company in the years 1997 to 2009. The entire team was reconstituted in February 2010 and there was a slight delay in the filing of regulation 8(3) for the year 2010 and would like to assure that filing for the year 2011 and 2012 had been done on time without any delay. It is requested to kindly condone the delay.
Page 4 of 9 Consideration of Issues and Findings 7. I have carefully perused the written and submissions of the Noticees and the documents available on record. The issues that arise for consideration in the present case are : (i) Whether the Noticees have violated provisions of Regulations 6(2), 6(4) and 8(3) of SAST Regulations? (ii) Do the violations, if any, on the part of the Noticees attract monetary penalty under section 15A(b) of SEBI Act? (iii) If so, what would be the monetary penalty that can be imposed taking into consideration the factors mentioned in section 15J of SEBI Act?
