Adjudication Order in respect of Axis Trustee Services Limited Page 2 of 40 rule 3 of SEBI (Procedure for Holding Inquiry and Imposing Penalty by Adjudicating Officer) Rules, 1995 (hereinafter referred to as the ‘Adjudication Rules’) to inquire into and adjudge under section 15HB of the SEBI Act the following alleged violations by the Noticee: i. Regulation 14 of SEBI (Debenture Trustees) regulations, 1993 (“DT Regulations”) read with Schedule IV to the DT Regulations; ii. Regulation 15(1)(a) and Clause 17 of Schedule IV-Contents of Trust Deed of DT Regulations; iii. Regulation 15(1)(d) 15(1)(f), 15(1)(h), 15(1)(i) and 15(1)(m) of DT Regulations; iv. Regulation 15(1A) of DT Regulations; v. Clause 18 of Code of Conduct read with Regulation 16 of DT Regulations; vi. Clause 6 and 27(b) of simplified listing agreement issued vide circular SEBI/IMD/BOND/1/2009/11/05 dated May 11, 2009; vii. SEBI Circular MIRSD/DPS III/Cir-11/07 dated August 06, 2007; and viii. Regulation 15(1) of the SEBI (Issue and Listing of Debt Securities) Regulations, 2008 (“ILDS Regulations”). SHOW CAUSE NOTICE, REPLY AND PERSONAL HEARING

Noticee was given opportunities of personal hearing on November 20, 2017 and February 23, 2018. Mr. K.R.C.V.Seshachalam, Advocate, Visesha Law Services and Ms. Krishna Kumari, Compliance Officer of the Noticee, attended the personal hearing on November 20, 2017 and February 23, 2018 on behalf of the Noticee. The submissions and replies of the Noticee have been considered by me in detail while arriving at the
