Further, the extract from ROC website indicating that the Noticee’s company was an unlisted company was also enclosed.

Our Company was incorporated on 08th May, 1980, as a public limited company and was listed only at Calcutta Stock Exchange and was availing the listing facility since 1980 upto 2005. In the year 2005, the Company's capital was 4,00,000 shares of Rs.10 each held by 25 shareholders. In our case majority shares were closely held by the promoters & their relatives. Further, shareholdings of Body Corporate fell under the category of "Promoters & Persons acting in concert", as majority shares of Body Corporate were also held by the same promoters and their relatives. It is pertinent to note that, even now, the company has a close shareholding. The shareholders holding 99.55% of share capital had advised in writing to delist the shares of the Company from the Calcutta Stock Exchange where it was listed and had expressed their desire to continue to be shareholders without an exit option.
