3 that the sales for the quarter April to June 2003 was shown as Rs. 13.5 crore as they had undertaken trading activity i.e. they had purchased steel and copper from the open market and sold to another company at a higher price. Mr. Jhala further stated that the price of steel was rising and the company wanted to take advantage of the price rise. He further stated that the entire trading transaction was cancelled and as a result in the subsequent quarters the sales went back to normal and thereafter the company stopped trading. It is observed that the sale for the entire year 2003-04 was Rs.1.62 crore only. MEL further stated in its letter that the Company had good orders on hand based on verbal communication received from the customers but could not execute the orders due to lack of working capital.
4 8. In view of the above it is alleged that the Noticee violated Regulations 3 (b), 4 (1) read with 4 (2) (k) and (r) of the SEBI (Prohibition of Fraudulent and Unfair Trade Practice relating to Securities Markets) Regulations, 2003 (hereinafter referred to as “PFUTP Regulations”).
