Page 2 of 9 2. On analysis of the trading data obtained from CSE it was observed that four brokers viz. Basant Periwal and Co., Ahilya Commercial Pvt. Ltd., Ashok Kumar Kayan and Rajendra Prasad Shah had traded for 29,93,594 shares which constituted 85% of the total market volume in the scrip of BPL. The role of the brokers and the entities who had traded in the scrip of BPL was scrutinized. It was alleged that through collusion with the brokers and clients, shares of BPL were transacted in such a manner that led to creation of artificial volumes in the scrip and was designed to create a false market leading to significant price movement in the scrip.

Page 4 of 9 • That in the past also similar notices for different entities were served at our office with Bagree Market address by SEBI and same were received by our receptionist. For those too we were called for by SEBI – ERO and had clarified our stand that as Bagree Market is a vast commercial market complex having 1500+ business entities existing therein and we being in the business of Registrar and Share Transfer Agent the highest volume of mail receipts takes place at our premises. It is also very regular that the Post man and different delivery persons from different courier companies do sometimes deliver mails bearing our address but are of different entities not belonging to our premises. Beside that, Bagree Market complex is divided into blocks and if the block number is not mentioned as part of the address then chances of confusion prevails as there are same room number existing for 3 to 5 offices of the same floor but in different blocks of that floor. Further more, if any mail comes from SEBI bearing our address than our person receives these mails without any question as we being SEBI registered intermediary.
