Page 2 of 14 Mr.Uday and Smt. Urmila thereby the collective shareholding of the Noticee and Mr.Homiyar, Mr.Uday and Smt. Urmila increased by 11.09% of the paid-up capital of the company. The shares of the company are listed at Bombay Stock Exchange (hereinafter referred to as ‘BSE’). The paid-up capital of the company during July 2009 to September 2009 was 50,47,800 shares. Investigation further observed that the Noticee and three others were related to each other were persons acting in concert (PACs).

Page 3 of 14 6. The Noticee and Mr.Homiyar, Mr.Uday and Smt. Urmila were also called upon to show cause as to why an inquiry should not be initiated against them and penalty be not imposed under Section 15 A(b) of the SEBI Act for the alleged violations. The SCN was duly acknowledge by the Noticee and reply to the said SCN was submitted vide letter dated 30.06.2011.

Page 4 of 14 i. At the outset, it is submitted that our client has not acquired any shares of M/s. Facts Enterprises Limited. Uday, Homiyar and Urmila are not acquire as described in the SCN. Kindly note that none of them have acquired any shares and have become owners thereof. Kindly further note that all four of them were temporary custodians of the shares. They were holding shares on behalf of Mr. Divesh Patel of M/s. S M Developers.
