Adjudication order in respect of Comfort Fincap Ltd. Page 2 of 10 March 20, 2014 2. Securities and Exchange Board of India (hereinafter referred to as “SEBI”) examined the letter of offer pertaining to the aforesaid open offer and alleged that the Noticee had violated regulation 8(3) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 1997 (hereinafter referred to as “SAST Regulations, 1997”) for the years 1998 to 2010.

The salient points of submissions of Noticee are as follows: Non-compliance with regard to the violation of regulation 8(3) of SAST Regulations, 1997 for the years 1998 to 2010 was at the time of the old promoter and management. New management has taken over the company in the year 2010-2011 and it is in regular compliance with SAST Regulations, 1997 till current date.
