At the request of GTG vide letter dated May 02, 2014, another opportunity of hearing was scheduled on June 04, 2014. Again vide letter dated May 28, 2014, GTG had requested for adjournment of hearing. Last opportunity of hearing was given to GTG on June 25, 2014. Ms. Babita Jain and Mr. B.M. Chaturvedi appeared as Authorized Representatives (AR's) for GTG. They also appeared as Authorized Representative for Noticee Nos.13, 24 and 28. During the course of hearing, GTG also submitted addendum to their reply dated March 31, 2014. The salient points of submissions of GTG are as follows: • The facts mentioned in the SCN are true and correct. • As a result of the inter se transfer of shares among the members of promoter group, the overall shareholding of the promoter group in the company SBMPL remained unchanged. • The promoters/company have informed their transfer/acquisition of shares to the BSE from time to time. However, for the said transfers disclosure under SAST Regulations, 1997 were not made. • Inadvertently, by bonafide oversight the relevant filings under regulation 3 has not been made within stipulated period. On being aware of the fact, the promoter group has filed the report with SEBI. • The delays were purely inadvertent and unintentional and primarily due to the promoter and the company not being able to seek assistance of persons with adequate experience
