The Noticees violated Clause 22(a) of the Listing Agreement read with section 21 of SCRA by not intimating the stock exchanges within 15 minutes of the Board meeting closure, violated Clause 2.1 of Schedule II read with Regulation 12(2) of PIT Regulations by delaying dissemination of price sensitive information (4 days on first occasion, 2 days on second), and violated regulations 3(a), (b), (c), (d), 4(1), 4(2)(a), (f), (k) & (r) of PFUTP Regulations by making repeated corporate announcements regarding preferential allotments with no intention to proceed, as an artifice to make the promoters' open offer unattractive. A total penalty of Rs. 10,00,000 was imposed jointly and severally.
