3 committed by the Noticee, as specified in the SCN. It was alleged in the SCN that the Noticee had failed to make the necessary disclosures within the prescribed time in terms of Regulation 8(3) of the SAST Regulations, 1997 for the years 2002, 2007 and 2009.

4 SAST Regulation, the Company shall make disclosure to the Stock Exchange of the changes in the shareholding of the promoter’s and persons holding 15% shares in the Company on or before September 17, 2007, but the Company had filed the disclosure on September 19, 2007, with a delay of 2 days. The delay of two days had occurred because the authorized signatory was on leave. However, the company has appropriately complied with the formalities for payment of dividend well within the timelines as prescribed in the Companies Act, 1956. The delay of 2 days was due to genuine hardship faced by the Company. The Office was busy with the dispatch of dividend warrant since the date of the AGM and on the due date for submission of disclosures under Regulation 8 (3), the authorized signatory was on leave due to adverse health conditions of his father. At this juncture, we wish to highlight that the Company had filed the disclosure under Regulation 8 (3) on time for the year ended 31st March 2007 and for all preceding year. This particular year 2007, was an exception due to unavoidable circumstances; (iv) Financial year ended March 31, 2009 - At the end of the 4th quarter of 2009, our company Executive Director had proposed to resign from his post and the promoters of the company had to choose another competent person among itself to head the company.
