It was observed that SPCL had floated these schemes after the aforementioned interim order dated July 17, 2013.

It is further observed that SPCL had mobilized an amount of Rs137.12 crores from the investors during the year 2012-2013. On perusal of the Annual Report submitted by SPCL for the FY 2012-2013, it was observed that the said amount of Rs 137.12 crores was reflected in the Annual Report of SPCL as “Project Participation Contribution” under the head "other long term liabilities" in the Balance Sheet of SPCL for the FY ended March 31, 2013. It was also observed by SEBI that the amount mobilized by SPCL, had increased from Rs 137.12 crores (during 2012- 2013) to Rs 478.35 crores (during FY 2013-2014). It was noted that the schemes offered by SPCL in the name of its joint venture participation business (JVPSS) for the development of land is nothing but a smokescreen for its fund mobilizing activity. Further, it was observed that SPCL had engaged in fund mobilizing activity from the public,by floating/sponsoring/ launching 'collective investment scheme' as defined in Section 11AA of the SEBI Act without obtaining a certificate of registration from SEBI, which was required to be obtained in terms of Section 12(1B) of the SEBI Act, 1992 ( hereinafter referred to as ‘SEBI Act’) and regulation 3 of SEBI (Collective Investment Schemes) Regulations, 1999 (hereinafter referred to as ‘CIS Regulations’).
